Terms of Service

1. Acceptance of Terms

By creating an account, accessing our platform, or engaging with our services, you represent that you are at least 18 years of age, have the legal authority to enter into these Terms on behalf of yourself or your organization, and agree to comply with all applicable laws and regulations.

2. Description of Services

Kynetiq Labs provides AI-powered go-to-market (GTM) automation services for B2B companies, including but not limited to:

• Agentic workflow design and implementation
• AI-powered demand generation and inbound systems
• Custom AI agent development and deployment
• GTM strategy consulting and advisory services
• Ongoing optimization and performance monitoring

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice.

3. Account Registration and Access

Access to our platform is by invitation only during closed beta. You agree to:

• Provide accurate and complete registration information
• Keep your account credentials confidential and secure
• Notify us immediately of any unauthorized access or security breach
• Be responsible for all activity that occurs under your account
• Not share access credentials with unauthorized parties

We reserve the right to suspend or terminate accounts that violate these Terms or engage in prohibited conduct.

4. Acceptable Use Policy

You agree not to use our services to:

• Violate any applicable law, regulation, or third-party rights
• Transmit spam, unsolicited communications, or malicious content
• Reverse engineer, decompile, or attempt to extract source code
• Circumvent any access controls or security mechanisms
• Use our AI systems to generate harmful, deceptive, or illegal content
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the integrity or performance of our platform
• Scrape, crawl, or harvest data from our platform without authorization

5. Intellectual Property

5.1 Kynetiq Labs IP

All software, algorithms, methodologies, documentation, designs, trademarks, and content developed or owned by Kynetiq Labs remain our exclusive intellectual property. Nothing in these Terms grants you ownership of our IP.

5.2 Your Data and Content

You retain ownership of all data, content, and materials you provide to us. By using our services, you grant Kynetiq Labs a limited, non-exclusive license to use your data solely for the purpose of delivering and improving our services.

5.3 Work Product

Deliverables and custom systems created specifically for you under a service agreement become your property upon full payment, unless otherwise specified in a separate statement of work.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared in connection with the services. This includes business strategies, technical systems, customer data, and pricing. Confidentiality obligations survive termination of these Terms for a period of three (3) years.

7. Payment Terms

Fees for our services are as agreed in your service agreement or order form. Unless otherwise specified:

• Invoices are due within 14 days of issuance
• Late payments may incur interest at 1.5% per month
• All fees are non-refundable unless otherwise agreed in writing
• We reserve the right to suspend services for overdue accounts
• Prices are subject to change with 30 days notice

8. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that our services will be uninterrupted, error-free, or free from harmful components. AI-generated outputs are provided for informational and operational purposes and may require human review.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Kynetiq Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of our services.

Our total aggregate liability for any claims arising under these Terms shall not exceed the total fees paid by you to Kynetiq Labs in the three (3) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Kynetiq Labs and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your use of our services, violation of these Terms, or infringement of third-party rights.

11. Termination

Either party may terminate the service relationship with 30 days written notice. We may terminate immediately for material breach of these Terms, non-payment, or conduct that poses risk to our platform or other users.

Upon termination, your access to our platform will cease and we will provide a reasonable opportunity to export your data within 30 days.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which Kynetiq Labs is incorporated, without regard to conflict of law principles. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on our platform at least 14 days before taking effect. Your continued use of our services after changes take effect constitutes acceptance.
